COMPETITION RULES
1. DESCRIPTION: The PitchBox competition ("Competition") is organized and administered by CapitalBox, [556695-9655] ("CapitalBox"). Participants can enter the Competition from 08:00 on 19 March 2024 and applications will be accepted continuously until 23:59 on 19 April 2024 ("Registration Period"). From the submissions, five SMEs (“Finalists”) will be selected to pitch their idea for growth on stage at The Node, Stockholm, on 23 May 2024. There, the Winner will be chosen and awarded the Prize.
2. Admission is subject to the applicant meeting these Competition rules ("Competition Rules").
The applicant shall be an employee of an SME, as defined below, ("Participant").
3. ACCEPTANCE OF RULES: By participating in the Competition, each Participant and the relevant SME unconditionally agrees to abide by the Competition Rules and CapitalBox’s decisions, which shall be final and binding in all matters related to the Competition. Each Participant and SME also agrees to comply with all applicable laws and regulations in connection with their participation in the Competition. Participation in the Competition does not constitute participation in any other campaign, lottery, or competition than the Competition.
4. ELIGIBILITY: The Competition is open to small and medium-sized enterprises ("SMEs") who meet all the following eligibility criteria:
- The SME is active in business and registered in Sweden and has at least 2 full-time employees (no freelancers).
- The SME employs fewer than 250 persons.
- The SME has an annual turnover not exceeding EUR 50 million, and/or an annual balance sheet total not exceeding EUR 43 million.
- The SME has to have a Swedish organisation number and F-tax (Sw. F-skatt) registration number.
- The Participant representing the SME is of legal age (18 years) at the time of registration and has obtained all necessary authorization by the SME to enter into the Competition and is authorized to bind the SME to these Competition Rules.
- The SME is no sole trader (Sw. enskild näringsidkare).
Individuals are excluded.
Due to conflict of interest and anti-corruption legislation, the Competition is not open to individuals connected to CapitalBox. This includes affiliates of CapitalBox, and CapitalBox employees and their family members. Intended participants are current and potential customers of CapitalBox.
5. HOW TO PARTICIPATE: To enter the Competition, each Participant must submit a contribution by completing and submitting the "Application form" ("Contribution") containing questions regarding e.g. personal data, information concerning the SME and the SMEs development, available here.
6. ADDITIONAL PARTICIPATION REQUIREMENTS; PARTICIPANT COMMITMENT:
- Participation is limited to one (1) application per SME registered in Sweden.
- CapitalBox reserves the right to disqualify Participants in case the Participants do not meet eligibility criteria and/or have violated the Competition Rules.
- Participation in the Competition does not create any agency, consultancy, employment, or other relationship or contract between CapitalBox and any Participant or SME. By submitting a Contribution, each Participant and SME accepts that no such relationship or contract is established.
- The Participant accepts the potential travel costs that may be involved in attending the Competition in Stockholm on 23 May 2024.
- By participating in the Competition, each Participant warrants that:
A. The Participant's Contribution meets the requirements of this section 7;
B. The Participant meets all eligibility requirements of section 5 for the Competition; and
C. The Participant has followed the Competition Rules when applying for and participating in the Competition.
No purchase of CapitalBox products is necessary or required to enter the Competition.
7. JURY, EVALUATION, AND SELECTION OF WINNER:
- Qualified Contributions will be evaluated by a jury of four individuals (two members from CapitalBox’ internal team, two external consultants that are contracted by CapitalBox), including both those with and without connections to CapitalBox.
- Five selected Participants are invited to pitch their idea on stage in Stockholm on 23 May 2024. The jury on the day consists of three individuals, including Armand Duplantis, Emil Jönssen and a journalist.
- In case of a conflict of interest between a jury member and a Participant or SME, this must be communicated before the evaluation begins. A conflicted jury member shall not participate in assessing the Contribution.
- The jury will make its decision by assigning scores from 0-5 (with 5 as the highest score) in each of the following categories:
- Motivation: How motivated is the Participant, and how passionately does it sell itself and/or its idea?
- Feasibility: How feasible is the idea? How likely is it to survive after implementation and stimulate further growth?
- Problem Solving: Has the Participant identified a problem, and how well does the idea solve that problem? Is the market in need for this idea?
- Impact the SME would have: Would the SME have any type of social, economic, or sustainability impact, and/or would it be revolutionary (create a new category, product, etc.)?
- Impact the money would have for the SME: How significant an impact would the prize money have on the SME's ability to realise the growth goal?
- The SME which has the Participant with the highest scores, is the Winner of the Competition ("Winner").
- In case the selected Winner has not provided such information as stated in section 9 within 30 days after CapitalBox has notified the Winner, CapitalBox reserves the right to modify its decision and select another Winner in accordance with the scores and categories stated above.
- If a Winner is found ineligible, CapitalBox reserves the right to request a refund of the Prize within 12 months from the date of the announcement stated in section 9. If the Prize is not used according to what is stated under section 11, CapitalBox may request a refund of the Prize within 12 months of discovering the issue. The Winner is, in such a case, immediately obligated to initiate the refund process, according to instructions from CapitalBox, upon request from CapitalBox.
8. ANNOUNCEMENT: The Winner will be publicly announced during an award ceremony at an event organized by CapitalBox on 23 May 2024. If CapitalBox has appointed another Winner of the Competition based on reasons stated herein, such decision cannot be appealed by other Participants.
The Winner will also be contacted individually by CapitalBox via email after the event. The Winner shall upon such notice provide information on how CapitalBox shall transfer the Prize.
9. PRIZE: The Winner will receive 100,000 SEK ("Prize").
10. GENERAL PRIZE CONDITIONS: The Prize may only be used within the Winner's business. CapitalBox reserves the right to request a resort to ensure that the Prize is utilised appropriately. Paying any taxes or fees that may apply in relation to receiving the funds is the responsibility of the Winner. The value of the Prize may be taxable for the Winner as income from business operations. Any applicable income tax on the Prize is the responsibility of the Winner. To claim the Prize, a potential Winner may need to verify their permanent address and social security number to comply with applicable tax regulations.
11. USE OF PERSONAL DATA: Submission and the collection of personal and company data from Participants in the Competition is done in accordance with CapitalBox’s privacy policy and with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and other applicable data protection legislation.
12. LICENSE: By submitting a Contribution, the Participant grants CapitalBox a non-exclusive, royalty-free, irrevocable right to use the Participant's name, image, Contribution, and any other data, information, content, or material included in such Contribution for the purpose of promoting the Competition and potential winners. The right to use the material includes all marketing channels, including, but not limited to, CapitalBox's own channels and Facebook, LinkedIn and Instagram. CapitalBox shall not use personal/individual names or images, unless explicitly permitted by the Participant.
The Participant warrants that (a) any use of name, image, and any other information concerning or related to any employee of the SME has been provided with their consent to such use, and (b) the use of the Contribution will not infringe any rights, including without limitation to intellectual property rights of third parties.
13. DISPUTES: The Competition is governed by Swedish law. Disputes arising from this Competition or these Competition Rules shall be finally settled by arbitration in accordance with the Rules of the Stockholm Chamber of Commerce Arbitration Institute ("SCC").
The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one or three arbitrators.
The seat of arbitration shall be Stockholm, and the language to be used in the arbitral proceedings shall be Swedish.
The parties undertake and agree that all arbitral proceedings conducted with reference to this arbitration clause will be kept strictly confidential. This confidentiality undertaking shall cover all information disclosed in the course of such arbitral proceedings, as well as any decision or award that is made or declared during the proceedings. Information covered by this confidentiality undertaking may not, in any form, be disclosed to a third party without the written consent of the other parties. This notwithstanding, a party shall not be prevented from disclosing such information in order to safeguard in the best possible way his rights vis-à-vis the other parties in connection with the dispute, or if the party is obliged to so disclose pursuant to statute, regulation, a decision by an authority, a stock exchange contract or similar.
